Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the CodeAgent Mobile application, command-line interface, IDE extensions, and the website at www.codeagent-mobile.com (collectively, the "Service"). By creating an account, installing our software, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

CodeAgent Mobile is a mobile-first development platform that lets developers control AI coding agents from their phone. The Service pairs a mobile application with a companion process running on the user's computer (the codeam-cli, a VS Code / Cursor / Windsurf extension, or a JetBrains plugin) and relays commands and responses between them. The Service does not execute AI agent commands itself; it acts as a relay between the mobile client and the AI agent running on the user's machine or in a cloud environment configured by the user.

3. Account Registration and Security

To use the Service you must create an account by providing a valid email address and password, or by authenticating through Google or Apple Sign-In. You agree to:

• Provide accurate, current, and complete information.
• Keep your password and authentication tokens confidential.
• Notify us promptly of any unauthorized use of your account.
• Be responsible for all activity that occurs under your account.

You must be at least 13 years old to create an account. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Send malicious code, perform denial-of-service attacks, or attempt to disrupt the Service's infrastructure.
• Reverse-engineer, decompile, or attempt to extract the source code of any Service component beyond what is permitted by applicable open-source licences.
• Resell, sublicense, or expose the Service as a backend for a competing product without prior written permission.
• Use the Service to generate, distribute, or facilitate content that infringes intellectual property, contains malware, or violates the Anthropic, OpenAI, GitHub, or other underlying AI provider's usage policies.
• Operate more concurrent paired devices than your plan allows.

We may suspend or terminate any account that violates these rules.

5. Subscriptions, Pricing, and Billing

The Service offers a free plan and one or more paid plans (e.g. Pro). Plan limits, features, and pricing are described in-app and on our website and may change with notice as described in Section 13.

Merchant of Record. Paid subscriptions on the web are processed by Kelviq, our reseller and merchant of record. Kelviq handles billing, tax collection, payment processing, fraud prevention, and refunds for all web-channel paid subscriptions. When you purchase a paid plan through the web you also agree to Kelviq's Buyer Terms. Mobile in-app purchases (iOS App Store, Google Play Store) are billed by Apple and Google respectively under their store policies.

Subscriptions auto-renew on a monthly or yearly basis (depending on the plan you choose) until cancelled. By providing payment information you authorize Kelviq (or Apple/Google for in-app purchases) to charge your selected payment method at the start of each billing period at the then-current price for your plan.

Taxes (VAT, GST, sales tax, etc.) are calculated and collected by Kelviq based on your billing address. The price displayed at checkout includes any applicable taxes.

6. Cancellation

You can cancel your paid subscription at any time from the web dashboard (Settings > Subscription > Cancel) or by contacting support. Cancellation takes effect at the end of the current billing period — you keep access to Pro features until then, and you will not be charged again. We do not pro-rate cancellations made mid-period unless required by applicable law.

7. Refunds

Refund eligibility and processing are described in our Refund Policy. Web-channel refunds are issued through Kelviq, our merchant of record; mobile in-app purchases are refunded through Apple or Google per their store policies.

8. Intellectual Property

The Service, including its software, UI, designs, and trademarks, is owned by CodeAgent Mobile and protected by intellectual property laws. The codeam-cli, VS Code / JetBrains plugins, and supporting client libraries are released under their respective open-source licences as indicated in their repositories.

Content you submit through the Service (prompts, code, conversation logs, attachments) remains your property. You grant us a limited, non-exclusive licence to process, transmit, store, and display that content solely to provide and improve the Service.

9. Third-Party Services

The Service integrates with third-party AI providers (Anthropic, OpenAI, GitHub Copilot, Cursor, Windsurf, JetBrains AI Assistant, etc.) and infrastructure providers (Supabase, Redis Cloud, Vercel, GitHub Codespaces, Kelviq). Your use of those services is subject to their own terms. We are not responsible for outages, policy changes, or actions of third-party providers.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. We do not warrant that the Service or any AI agent it relays to will be error-free, secure, or produce results that meet your requirements.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CodeAgent Mobile and its contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service. Our aggregate liability for any claim arising under or related to these Terms is limited to the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 50.

12. Termination

You may delete your account at any time from the app's settings. We may suspend or terminate your access to the Service at our discretion, with or without notice, for any breach of these Terms or for any conduct that we determine exposes us or other users to risk or legal liability. Upon termination, your paired sessions, conversation buffers, and subscription will be deactivated. Data retention is described in our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. If we make a material change we will notify you via the app, by email, or by posting a notice on our website at least fourteen (14) days before the change takes effect for paying users (seven (7) days for free users). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which CodeAgent Mobile is established, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration where permitted, or otherwise in the competent courts of that jurisdiction. Nothing in this section limits your statutory consumer rights under the applicable law of your country of residence.
